Website Service Inclusions, Scope & Website Changes Fair Use Policy

1. Background

  1. This policy forms part of the terms and conditions for anyone purchasing digital services related to their website, that together with our General Service Terms & Privacy Policy constitute a binding agreement between you (you or your) and iseekplant Pty Ltd ACN 150 273 251, of Level 6, 51 Alfred Street, Fortitude Valley Qld 4006 trading as iseekplant.com.au and Costructiv Digital (iseekplant, we, us or our) for the supply of the Services.
  2. By receiving our Services and otherwise using the Platform, you confirm having read, understood and agreed to these Terms together with our Privacy Policy and Terms of Use available on the Platform.
  3. If there is any inconsistency between:
    1. any express provisions set out in a Proposal;
    2. these Terms; or
    3. the Terms of Use
such inconsistency will be resolved and interpreted according to the same order of preference as the documents are listed above, with the documents higher in the list having higher priority.


2. Subscription Website Service Inclusions

  1. We will provide you with a link to the inclusions and limitations of the Subscription Website Services either separately or as part of the Proposal;
  2. This schedule of inclusions is subject to change from time-to-time. You will be notified of any material variation in service inclusions in writing with 30 days’ notice prior to the change being made.
  3. You acknowledge and agree that the Subscription Website Services are developed to be implemented over a multi-year timeframe in accordance with best practice search engine guidelines.
  4. Any client requested variations to the Subscription Website Services during the Term must be agreed between you and iseekplant and may result in additional Service Fees;
  5. We will set up and maintain the website communication system, cookies, remarketing tools and content management system.
  6. We will set up your hosting, and ensure your Subscription Website is hosted on your domain where you have a domain, provided that you provide us with timely access to your DNS records, and other hosting information required for us to host the Subscription Website on your domain. If you do not have a domain, we will purchase a domain on your behalf charged at our standard rates.

3. Website Changes Fair Use Policy

  1. If you require work that is outside of the schedule of inclusions provided to you at the time of accepting the quote, then that work may incur additional Service Fees.
    1. Additional Service Fees will be scoped and quoted separately, and an additional Proposal sent to you for approval.
    2. Work will not be undertaken until we have your express written consent regarding the variations and additional Service Fees, in the form of an electronically signed Proposal and work cannot commence until we have your consent.
    3. Additional Service Fees will be charged as supplementary to ongoing Monthly charges in alignment with your Billing Cycle date, or when approved by you, or as otherwise mutually agreed between you and iseekplant.
  2. Policies including quality, safety and environment cannot be written by iSeekplant for legal & liability reasons.
  3. Downloadable forms, documents, document uploaders, user accounts, login portals or other bespoke functionality beyond that specified in the inclusions has not been included.

4. Website Changes Fair Use Policy

  1. If you have purchased a product that is predominately a migration of your existing website to our content management and communication system, or Starter Site Services you will not be provided any opportunities for edits until after publishing when the website logins are provided to the client.  
  2. For other Subscription Website Services:
    1. during the build process you will be provided with 3 milestone opportunities for edits to content or design prior to publishing. Any changes to your Website beyond these milestone check points are subject to our Fair Use Policy. This policy allows for simple website improvements or updates that take less than 20 minutes to complete inclusive of account manager time. Examples of simple updates would include (without limitation):
      1. logo changes (excluding logo design);
      2. updating contact details such as telephone numbers, email addresses or postal addresses;
      3. editing the menu bar to rearrange the page order;
      4. minor changes to the written content; and/or
      5. insert or change an images
      The maximum allowed updates is 10 per year.
    2. any changes to your Website during the build process and after it is live that fall outside the Fair Use Policy will be subject to an additional Proposal which must be agreed before the work will be undertaken by iseekplant. Without limiting the Fair Use Policy and by way of example only, the following edits would not be included as improvements under clause 4(a):
      1. material design changes outside of the milestone opportunities for edits;
      2. written content changes outside of the milestone opportunities for edits;
      3. Search Engine Optimisation (SEO) upgrades outside of those included in the Subscription Website Services;
      4. excessive, consecutive edit requests;
      5. excessive changes to design or written content as a result of you not providing adequate
        information as part of your initial briefing to iseekplant;
      6. inserting additional places or splitting content across multiple pages; and/or a material change to layout and functionality.
      7. any changes taking greater than 20 minutes to complete inclusive of account manager time.

5. Content Creation & Supply of Information:

  1. Where iseekplant is engaged to ‘write’ the copy for your website, you are required to participate in a brief interview to ensure we can draft the content.
  2. We will need your assistance with content writing. Our writers create SEO copy specifically for the purpose of maximising keyword-oriented traffic generation. We will require your assistance with editing written content. You will need to help us add to the SEO specific content writing to include specific industry and company specific information.
  3. You are required to provide us with clear high-resolution images. If we do not have clear resolution images, Stock Images may be used in its place, and in some cases additional Service Fees may be charged for use of Stock Images.
  4. You will be required to supply any and all machine/service images for your iseekplant profile – which may also be published on your website.
  5. You are required to provide logos and other branding material, where available. If you are unable to provide these assets this work would be out of scope as per clause 3(a)
  6. You are required to provide existing Google logins for Google Analytics, Google Webmaster Tools, Google My Business (Google Business Profile) and Google Ad Manager. In the event you don’t currently have these accounts, then we may create these accounts on your behalf and configure them so we can provide our Services.

6. Timing for the Completion of the Services

  1. iseekplant and Constructiv Digital can deliver Subscription Website Services affordably because we maintain tight control over our production processes and timing. As such, once you have entered the production queue, it is critical that you provide feedback and materials on the deadlines required so that we can meet reasonable project delivery timeframes.
  2. If you do not respond to our requests for information, content or approval of designs or other elements inside of the specified timeframe, then we reserve the right to deprioritise your project in the production queue, which could mean that the project is slower to complete.
  3. The website design and content team will make requests to you for design and content edit consultation and will give you 10 working days to respond. If we receive no response we will assume no edits are required and may elect to continue the build process or stop the build process until you respond at our discretion.

7. Support and maintenance

  1. We will provide support and maintenance to you at our discretion via telephone and email.
  2. Customer acknowledges that:
    1. interruptions as a result of third-party suppliers to Provider are beyond the control of Provider; and
    2.  the Services may occasionally be interrupted due to technical difficulties
  3. Provider will use reasonable efforts to remedy interruptions to the Services as soon as reasonably practicable.
  4. If you require support with the Services during the Term, then you may access such support via a written request to customercare@iseekplant.com.au, by calling iseekplant or Constructiv Digital on 1300 691 912 or another contact method advised to you by us from time to time.

8. Backup responsibility

  1. We may perform daily data backups related to your Subscription Website and store these backups for up to 14 days after the date of backup in addition to periodic database backups. You acknowledge that we are not responsible for, or obliged to, back up any data or other information in connection with your Subscription Website and will not be liable to you for any loss, destruction or other damage caused by you failing to back-up such data or other information in connection with your Subscription Website.
